The method
What makes the value of your company vary
Our estimate is based on real sector multiples, adjusted according to six criteria that make the difference between the bottom and the top of the range.
Profitability
The level and stability of your EBITDA over the last three financial years.
Revenue recurrence
Multi-year contracts, subscriptions, retention rate of your client portfolio.
Dependence on the owner
What happens if you are away for three months: this is often the first discount factor.
Client concentration
A client that accounts for 40% of revenue also weighs on the valuation.
Sector and region
Observed multiples vary significantly from one sector and region to another.
Quality of the team
An autonomous management team able to run the company is worth several points of multiple.
The methods
Three methods, one market reality
No method is right on its own. A buyer cross-checks all of them, and yours must hold up against theirs.
Comparable multiples
Your EBITDA multiplied by the multiples observed on comparable SME transactions, in size, sector and region.
Reference method for profitable SMEs with 10 to 100 employees.
Discounted cash flow
The value today of the cash flows the company will generate tomorrow. Demanding in assumptions, useful when growth is strong.
Cross-check method for growing or transforming companies.
Asset-based approach
Assets minus debts, revalued. It sets a floor, especially when the company holds real estate or inventory.
Floor method for asset-intensive companies.
How we combine them: the multiples method gives the range, discounted cash flows check its consistency, and the asset-based approach sets its floor. The gaps between the three are often more telling than any one taken alone.
From value to price
The value of your company is not the price of your shares
It is the most common confusion in negotiations. Between enterprise value and what you actually receive, there are four steps.
-
Enterprise value
What the operating business is worth, however it is financed.
-
Financial debt
Bank loans, leases, shareholder loans to be repaid.
-
Excess cash
Cash beyond what the business needs to operate.
-
Working capital adjustment
The gap between your actual working capital requirement and its normal level.
-
Share price
The negotiated amount for your shares. Before taxes and fees.
And after taxes? Between the share price and what lands in your account, the gap can exceed 30%. Our simulator calculates your net proceeds, in Belgium as in France.
Estimate my net proceedsConfidentiality
No one needs to know you are considering it
Valuing your SME is a sensitive step. Three rules apply from the very first second.
No disclosure
Your information is never shared with intermediaries, third-party buyers or databases.
No solicitation
Neither your employees, nor your clients, nor your competitors are contacted. You alone decide what happens next.
Anonymous to start
The quick estimate requires no identifying information. You only identify yourself if you wish to.
And after the estimate?
One value, three ways to transfer
Knowing your value is the first step. The second is choosing who to transfer to, and on what terms.

What if you sold to your employees?
Selling to your teams is not a fire sale. PurpleShares buys and finances the deal so your employees can take over the company: you exit at a fair price, with a payment structure designed around your net proceeds.

Your questions
What business owners ask us
before getting started
Is the estimate free?
Yes, at all three levels. The quick estimate and the detailed estimate are instant and free. The substantiated valuation, delivered within 48 hours by an analyst, is also free and involves no commitment on your part.
Is my data passed on to third parties?
Never. Your information is not shared with intermediaries, third-party buyers or databases, and does not feed any prospecting list.
What is the calculation based on?
On the multiples actually observed in your sector and region, applied to your EBITDA, then adjusted according to six criteria: profitability, revenue recurrence, dependence on the owner, client concentration, sector and region, and quality of the team.
Can I get an estimate without giving my company's name?
Yes. The quick estimate requires no identifying information: sector, revenue and profitability are enough. You only identify yourself if you choose to refine the estimate.
Am I obliged to sell after the estimate?
No. Most owners who use the tool are not selling: they want an order of magnitude before opening the discussion. No solicitation follows the estimate; you alone decide what happens next.
How does your estimate differ from an accountant's?
An accountant often values a business from the accounts and asset-based methods. We think in terms of a buyer's price: what a buyer is actually willing to pay today, based on comparable transactions. The two approaches are complementary and do not give the same figure.
